1. Introduction

Welcome to Rooark.

These Terms and Conditions (“Terms”) govern your access to and use of the Rooark platform, including our websites, applications, payment initiation tools and features, event hosting and membership tools, educational programmes (including Rooark Academy), analytics, and AI-enabled insights (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use Rooark.

References to “Rooark”, “we”, “us”, or “our” refer to the relevant Rooark entity depending on your location and the Services provided.

3. Nature of Rooark’s Services

Rooark provides a technology platform that enables creators, organisations, and communities to:

  • Initiate payments
  • Create membership forms
  • Run donation campaigns
  • Host events and manage registrations
  • Send newsletters
  • Access educational content and programmes (including Rooark Academy)
  • Use analytics and AI-powered insights

All financial transactions are facilitated using independent third-party payment service providers.

Rooark:

  • Does not provide payment services
  • Does not issue electronic money
  • Does not act as a money transmitter
  • Does not safeguard, hold, or control funds
  • Does not operate client money accounts

All payments are processed directly by third-party payment providers, and funds move from payers to recipients according to those providers’ regulated systems and terms.

4. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use Rooark.

If you use Rooark on behalf of an organisation, you confirm that you have the authority to bind that organisation to these Terms.

5. Platform Fees and Pricing

5.1 Rooark Platform Fees

Rooark may charge platform service fees for access to certain features, subscriptions, or tools.

Current pricing, including subscription plans, transaction fees (if any), and any discounts or exemptions (such as donation campaigns), is published on the Rooark website and may be updated from time to time.

By using the Services, you agree to the pricing applicable at the time of use.

Platform fees relate solely to the provision of software, infrastructure, analytics, educational content, and platform tools, and do not constitute payment processing fees.

5.2 Third-Party Payment Processing Fees

Platform fees are charged in addition to fees applied by third-party payment providers. Rooark does not control or set these fees.

6. Payment Processing

Payments initiated through Rooark are processed by independent third-party payment providers based on the transaction currency and region.

Supported payment providers include:

  • USD, GBP, EUR payments: processed via PayPal
  • NGN (Nigerian Naira) payments: processed via Flutterwave and Paystack

Rooark may update or change payment providers from time to time without prior notice.

Rooark is not a party to the payment transaction between the payer and the recipient.

6.1 Payment Provider Fees

When using third-party payment providers, fees may include:

  • Percentage-based transaction fees
  • Fixed processing fees
  • Currency conversion charges (for international payments)

These fees are determined solely by the relevant payment provider (including PayPal, Flutterwave, and Paystack) and may vary based on location, payment method, and transaction type.

Users are responsible for reviewing and accepting the applicable terms and fees of the relevant payment provider.

7. Currency Handling and Foreign Exchange (FX)

Where a transaction involves currency conversion:

  • Exchange rates are set by the relevant payment provider, including PayPal and Wise Limited
  • Rooark does not set, control, or influence exchange rates
  • Rooark does not apply any foreign exchange markup

Foreign exchange rates and conversion fees are entirely outside Rooark’s control and may vary depending on the provider, transaction timing, and market conditions.

Users acknowledge and accept that:

  • The final amount received may differ from the original amount sent due to exchange rate fluctuations and provider fees
  • Rooark is not responsible for any differences arising from currency conversion

8. No Custody or Safeguarding of Funds

At no time does Rooark:

  • Hold user funds
  • Provide safeguarding services
  • Assume responsibility for fund custody

All funds are handled and processed by third-party payment providers under their own regulatory obligations.

9. User Responsibilities

You agree to:

  • Provide accurate and lawful information
  • Use Rooark only for lawful purposes
  • Use funds raised for their stated purpose
  • Comply with applicable laws, including anti-money laundering (AML) and counter-terrorism financing regulations

You must not use Rooark for fraudulent, deceptive, or harmful activities.

10. AI-Enabled Features

Rooark may provide analytics, summaries, educational recommendations, or AI-generated insights relating to platform usage, engagement, learning progress, or operational trends.

These outputs are:

  • Informational only
  • Not financial, legal, or investment advice
  • Provided “as is” without guarantees of accuracy

11. Account Suspension and Termination

Rooark may suspend or terminate access if:

  • These Terms are breached
  • Required by law or payment partners
  • Fraud or misuse is suspected

You may stop using Rooark at any time.

12. Intellectual Property

All Rooark software, branding, content, educational materials, and design are owned by Rooark or its licensors.

You are granted a limited, non-exclusive, non-transferable licence to use the Services.

13. Limitation of Liability

To the maximum extent permitted by law, Rooark is not liable for:

  • Indirect or consequential losses
  • Payment processor failures or disputes
  • Losses arising from third-party services
  • Outcomes arising from the use of features, educational or AI-generated content

Nothing limits liability where exclusion is not permitted by law.

16. Donations, Refunds, and Misuse

16.1 Nature of Donations

Donations made through Rooark are voluntary contributions made directly from donors to recipients (such as individuals, organisations, or businesses).

Rooark does not guarantee the use, outcome, or impact of any donation.

16.2 Donor Responsibility

Donors are responsible for:

  • Reviewing the recipient, campaign, or organisation before making a donation
  • Ensuring they are comfortable with how funds may be used
  • Understanding that donations may not be refundable

Donors should contact the recipient directly for any questions regarding the use of funds.

16.3 Recipient Responsibilities

Recipients (including organisations, businesses, and individuals) agree to:

  • Use funds for the stated purpose of the campaign or offering
  • Provide accurate and non-misleading information
  • Comply with all applicable laws and regulations
  • Honour any commitments made to donors or customers

Misuse of funds, misleading campaigns, or fraudulent activity is strictly prohibited.

16.4 Refunds and Disputes

All refunds, chargebacks, and disputes are the sole responsibility of the recipient (including businesses, organisations, or individuals receiving funds).

Rooark:

  • Does not issue refunds
  • Does not mediate disputes between donors and recipients
  • Is not responsible for chargebacks or payment reversals

Any request for a refund must be directed to the recipient or handled through the relevant payment provider (including PayPal, Flutterwave, or Paystack) in accordance with their policies.

16.5 Donor Protection and Platform Safeguards

Rooark may, at its discretion:

  • Monitor platform activity for suspicious or fraudulent behaviour
  • Suspend or remove campaigns or accounts that violate these Terms
  • Cooperate with payment providers or regulatory authorities where required

However, Rooark does not guarantee the legitimacy, accuracy, or performance of any campaign, recipient, or organisation.

16.6 Limitation of Liability for Donations

To the maximum extent permitted by law, Rooark is not liable for:

  • Misuse of donated funds
  • Failure of a recipient to deliver on promises or expectations
  • Disputes between donors and recipients
